Plain-English summary

This summary is here to help you understand the agreement. It is not part of the contract — sections 1 to 30 below are what legally binds us.

  • Cutz shows you the queue. Cutz does not cut your hair. We are a technology platform that shows live queue positions and estimated wait times for participating barbershops and salons. The haircut itself is a separate arrangement between you and the salon.
  • Cutz is not a booking app. Joining a queue reserves a position in a line, not a time slot. Positions and wait times are estimates and can change.
  • Barbers control the queue. A barber decides when a service starts, is completed, or is marked as a no-show. We do not override those decisions.
  • Customers and barbers never pay us. Only Salon Operators pay, through an optional subscription for a salon they manage.
  • Barbers and salon staff are not Cutz employees. They are independent users of the platform.
  • You are responsible for what you post — your name, photos, and reviews.
  • We can suspend accounts that abuse the platform, manipulate queues, or post abusive or fake content.
  • Nigerian law governs this agreement.

1. About these Terms

1.1 These Terms of Service ("Terms") form a legally binding agreement between you and Johnremy Agbor, an individual trading as Cutz, with correspondence address in Abuja, Federal Capital Territory, Nigeria ("Cutz", "we", "us", "our"). Cutz is not yet incorporated as a limited liability company. If we later transfer operation of the Services to a Nigerian company, we will update these Terms and the Privacy Policy, and that company will step into our place under this agreement.

1.2 These Terms govern your access to and use of the Cutz platform, which includes the Cutz customer application, the Cutz Barber application, the Cutz Salon application, our websites at cutz.ng and its subdomains, our progressive web apps, any native mobile applications we release, and our application programming interfaces (together, the "Services").

1.3 By creating an account, joining a queue, or otherwise using the Services, you agree to these Terms. Where the Services present a statement such as "By continuing, you agree to the Cutz Terms of Service and Privacy Policy" immediately before an action, taking that action constitutes your acceptance of these Terms.

1.4 If you do not agree to these Terms, do not use the Services.

1.6 If there is a conflict between these Terms and any incorporated document, these Terms prevail, except that the Subscription, Billing & Refund Policy prevails on questions of billing, renewal, and refunds.

1.7 Structure of these Terms. Part A (sections 1 to 6) applies to everyone. Part B (sections 7 to 9) contains role-specific terms — read the section for your role in addition to Part A. Part C (sections 10 to 30) applies to everyone.


PART A — TERMS THAT APPLY TO EVERYONE

2. Definitions

In these Terms:

"Account" means a Cutz account created using a verified phone number, email address, or supported sign-in provider.

"Barber" means an individual who uses the Cutz Barber application to operate a Queue, whether employed by, contracted to, or otherwise associated with a Salon.

"Content" means any text, image, photograph, rating, review, name, business detail, or other material submitted to the Services.

"Customer" means an individual who uses the Cutz customer application or website to discover Salons, join a Queue, or leave a Review.

"Queue" means an ordered list of people waiting for a service at a Salon, maintained through the Services — either a specific Barber's personal queue or a Salon's general queue.

"Queue Entry" means a single position held in a Queue, whether created by a Customer through the app or added manually by a Barber or Salon Operator as a Walk-in.

"Review" means a rating, written comment, or tag submitted by a Customer after a service.

"Salon" means a barbershop, salon, or similar physical service business listed on the Services.

"Salon Operator" means an individual or entity that registers or manages a Salon listing through the Services, including an owner, manager, or other authorised representative.

"Subscription" means a paid plan purchased by a Salon Operator for a Salon.

"User", "you" means any person who accesses or uses the Services in any role.

"Walk-in" means a person added to a Queue by a Barber or Salon Operator rather than by the person themselves.


3. What Cutz is, and what Cutz is not

3.1 What we provide. Cutz is a real-time queue visibility and queue management platform. We provide software that lets Customers see live queue status and join a Queue remotely, lets Barbers manage the order and status of a Queue, and lets Salon Operators configure and monitor the Salons they manage.

3.2 We are not a booking or appointment service. A Queue Entry is a position in a line. It is not a reservation for a specific time, and it does not guarantee that you will be served at any particular time, by any particular Barber, or at all.

3.3 We are not a party to the service you receive. Any haircut, shave, grooming, or other service is provided by the Salon and its Barbers, under a separate arrangement between you and them. Cutz is not a party to that arrangement, does not supervise it, does not set its price, and does not guarantee its quality, safety, or outcome.

3.4 We do not process payment for services. Payment for a haircut or any other service is settled directly between the Customer and the Salon, outside the Services. We do not collect, hold, or transmit money for those services. Any price shown in the Services is information supplied by the Salon and may be out of date or incomplete.

3.5 We do not employ, engage, endorse, license, vet, or supervise Barbers or Salons. We do not carry out background checks, verify professional qualifications, inspect premises, or verify insurance or regulatory licences, unless we expressly state otherwise for a specific Salon.

3.6 "Verified" badges. Where a Salon displays a verification badge, that badge indicates only that we have carried out the limited checks described in the Services at that time — typically confirmation of the Salon's contact details and control of the listing. It is not a certification of quality, safety, legality, licensing, or fitness for any purpose.

3.7 Ranking and placement. The order in which Salons appear in discovery results is influenced by factors including distance from you, whether the Salon is open, current queue length, ratings, relevance to your search, and — where we make this available — the Salon's Subscription tier. Some paid plans include increased visibility in search results. We disclose this so you understand that placement is not purely merit-based.


4. Eligibility and accounts

4.1 Minimum age. You must be at least 18 years old to create an Account. The Services are not directed at children. If you are under 18, you may only receive a service arranged through the Services if a parent or legal guardian holds the Account and takes responsibility for you.

4.2 A parent, guardian, or other adult may join a Queue on behalf of another person, including a child, provided they have that person's (or, for a child, the parent's or guardian's) authority to do so. If you add someone else to a Queue, you confirm that you have that authority and you are responsible for the information you provide about them.

4.3 Account creation. Accounts are created using a one-time passcode sent to your phone number or email address, or — where offered — through a supported third-party sign-in provider such as Google. You must provide accurate information and keep it up to date.

4.4 Phone number and email. You must only register a phone number or email address that belongs to you and that you are entitled to use. If you stop controlling a registered phone number or email address, you must remove it from your Account or tell us promptly. Phone numbers in Nigeria are periodically recycled by network operators; we are not responsible for access gained by a subsequent holder of a number you failed to remove.

4.5 One person, one Account. Your Account is personal to you. Do not share your Account, your one-time passcodes, or your device with anyone in a way that lets them act as you. You are responsible for all activity under your Account, except activity resulting from our own failure.

4.6 Linked identities. You may link a phone number, email address, and third-party sign-in to a single Account. Where linking would result in two Accounts belonging to the same person, we may merge them. On merger, historical records are consolidated into the surviving Account and the other Account is closed.

4.7 Roles. Some roles have additional requirements. A Barber Account must be associated with at least one Salon before it can operate a Queue. A Salon Operator Account must create or be granted management access to at least one Salon.

4.8 Security. Tell us immediately at hello@cutz.ng if you believe your Account has been accessed without your permission. We may log you out of devices, revoke sessions, or require re-verification to protect an Account.


5. Queue positions, wait times, and estimates

This section is important. Please read it carefully.

5.1 Estimates only. Queue positions, "people ahead of you", estimated wait times, estimated service durations, "queue full" indicators, opening status, and similar information are estimates. They are generated from information supplied by Salons and Barbers, from configured averages, and from actions taken in the app. They are not promises.

5.2 Why estimates change. Actual waiting times commonly differ from estimates because of, among other things: Walk-ins added at the Salon; services taking longer or shorter than the configured average; customers who do not arrive; a Barber taking a break, pausing their Queue, or leaving; manual reordering of the Queue by a Barber or Salon Operator; a Salon closing early; power or network outages; device or connectivity problems; and delays in synchronising data.

5.3 Manual reordering. Barbers and Salon Operators can move people up or down a Queue. This means your position can move backwards. We do not guarantee first-in-first-out order.

5.4 Automatic actions. To keep Queues usable, the Services take automatic actions in some situations — for example, marking a long-running service as completed after a period of inactivity, closing a Queue before a Salon's closing time, or removing stale Queue Entries. These actions may affect your position or remove your Queue Entry.

5.5 No-shows. If your turn arrives and you are not present, the Barber may mark you as a no-show and move on. You will lose your position. A record of no-shows is kept and may be visible to the Salon.

5.6 No guarantee of service. A Queue Entry does not oblige a Salon or a Barber to serve you. A Salon may close, a Barber may become unavailable, or a Salon may decline to serve you for any lawful reason.

5.7 Do not rely on estimates for anything that matters. Do not rely on Cutz estimates where a delay would cause you loss — for example, to schedule travel, to time a flight or an appointment, or to make any commitment to a third party. To the maximum extent permitted by law, we are not liable for any loss arising from your reliance on an estimate.

5.8 Notifications are best-effort. Notifications such as "you're almost up" are delivered on a best-effort basis and depend on your device, browser, operating system, network, notification permissions, and third-party notification infrastructure. On some platforms — notably iOS — push notifications require you to install the web app and are not available at all on older versions. You should not rely solely on notifications. It remains your responsibility to monitor your position and arrive in time.


6. Communications from us

6.1 Service messages. By creating an Account you agree to receive messages that are necessary to operate the Services, including one-time passcodes, security alerts, queue status notifications, and notices about changes to these Terms. These are not marketing and you cannot opt out of them while you hold an Account, although you can disable optional push notifications in your device or app settings.

6.2 SMS and message charges. One-time passcodes are sent by SMS or email. Your mobile network may charge you to receive messages, and delivery depends on your network. We are not responsible for network delays or non-delivery.

6.3 Marketing. We will only send you marketing messages where you have opted in or where we are otherwise permitted by law. You can withdraw consent at any time using the unsubscribe mechanism in the message or by contacting hello@cutz.ng.

6.4 Notices to you. We may give you notice through the Services, by push notification, by SMS to your registered number, or by email to your registered address. Notice is treated as given when sent.


PART B — ROLE-SPECIFIC TERMS

7. Customer Terms

This section applies if you use the Cutz customer app or website to find Salons and join Queues.

7.1 Free to use. Cutz is free for Customers. We do not charge you to browse, join a Queue, or leave a Review. Your mobile data and network charges are your own.

7.2 Browsing without an Account. You may browse Salons and see live queue information without an Account. You need an Account to join a Queue, leave a Review, or save a Salon.

7.3 Joining a Queue. You may join a specific Barber's Queue or a Salon's general Queue. If you join a general Queue, you will be assigned to a Barber when your turn comes; you do not choose that Barber in advance and we will not force you to accept an assignment you did not ask for — but the Barber available at the time is the Barber you will get.

7.4 One active Queue Entry. Unless the Services expressly allow otherwise, you may hold only one active Queue Entry at a time. Do not join multiple Queues to reserve options — this is a breach of the Acceptable Use Policy and harms other Customers and Barbers.

7.5 Turn up. If you join a Queue, you are expected to arrive in time for your turn. If you no longer want the service, leave the Queue in the app so the position can go to someone else.

7.6 Repeated no-shows. We may restrict or suspend your ability to join Queues if you repeatedly join and fail to attend. Salons may also decline to serve you.

7.7 Your dealings with Salons. Any dispute about the service you receive, its price, its quality, damage to your property or person, hygiene, or a Barber's conduct is between you and the Salon. Raise it with the Salon first. You may also report a Salon or Barber to us at hello@cutz.ng; we may act under section 21 but we do not adjudicate disputes, award compensation, or act as an ombudsman.

7.8 Emergencies and safety. The Services are not an emergency service. If you feel unsafe at a Salon, contact the Nigeria Police Force or the relevant emergency service — not Cutz.

7.9 Location. If you allow it, we use your device location to show nearby Salons and estimate distance. You can refuse or withdraw this permission in your device settings; some discovery features will then be limited. See the Privacy Policy.

7.10 Reviews. You may leave a Review only after a service that was marked completed, and only about a service you actually received. Reviews are governed by the Community & Review Guidelines.


8. Barber Terms

This section applies if you use the Cutz Barber app.

8.1 You are not our employee. You are an independent user of the Services. Nothing in these Terms creates an employment relationship, a contract of service, a partnership, a joint venture, an agency, or a franchise between you and Cutz. You are not our employee, worker, agent, contractor, or representative, and you must not hold yourself out as any of these.

8.2 Consequences of 8.1. Cutz does not pay you, does not set your working hours, does not direct how you perform your work, does not provide you with tools or premises, and does not control your relationship with any Salon or Customer. You are solely responsible for your own tax, pension, insurance, licensing, and any statutory obligations arising from your work. Your relationship with a Salon — whether employment, contract, chair rental, or anything else — is a matter between you and that Salon.

8.3 Free to use. The Cutz Barber app is free for Barbers. We reserve the right to introduce optional paid features for Barbers in the future, on notice.

8.4 You control the Queue, and you are responsible for it. You decide when a service starts, when it is complete, when a customer is a no-show, when to add a Walk-in, when to reorder, and when to pause your Queue. Use these controls honestly and promptly. Deliberately manipulating queue state — for example marking services complete that never happened, or inflating your served count — is a breach of these Terms and the Acceptable Use Policy.

8.5 Walk-ins and other people's data. When you add a Walk-in, you may enter that person's name and service details. You must:

(a) only enter information you are entitled to enter;

(b) tell the person that their name is being entered into a queue system operated by Cutz on the Salon's behalf, and point them to our Privacy Policy if they ask;

(c) not enter a person's name against their objection — a Walk-in can be added without a name; and

(d) not enter health information, financial information, or any other sensitive personal information in the name or notes fields.

8.6 Salon association. You may be invited to a Salon by a Salon Operator, and you may leave a Salon. Your Queue is scoped to the Salon you are operating in. An authorised Salon Operator can remove you from that Salon at any time; that ends your access to that Salon's Queues but does not close your Account.

8.7 Performance data is visible to Salon Operators. Authorised Salon Operators can see operational data about your activity at their Salon, including customers served, average service duration, no-show rates, ratings, and comparative rankings against other Barbers at the same Salon. If you do not want this data visible to that Salon's authorised operators, do not operate a Queue at that Salon. How that data is used in your relationship with the Salon — including any employment or disciplinary use — is a matter between you and the Salon, not Cutz.

8.8 Ratings. Customers rate you. Ratings are aggregated and displayed publicly. We do not guarantee any rating, ranking, level of visibility, or volume of customers. We may recalculate, adjust, or withhold ratings where we reasonably believe they have been manipulated.

8.9 Referrals. Where we operate a referral programme allowing you to invite Customers or Salons using a referral code, the programme rules published in the app apply. We may change, suspend, or end a referral programme at any time. Referral rewards, where offered, are forfeited if obtained through fake accounts, self-referral, or any other abuse.

8.10 Your professional obligations. You are responsible for holding any licence, permit, registration, or insurance required for your work, and for complying with all applicable health, safety, and hygiene requirements. We do not verify these.

8.11 No poaching claims against us. Barbers may move between Salons and may retain their Cutz profile and rating history when they do. Cutz is not responsible to any Salon for a Barber leaving, or to any Barber for a Salon removing them.


9. Salon Terms

This section applies if you use the Cutz Salon app to register or manage a Salon.

9.1 Authority. By creating a Salon listing you represent and warrant that you own the Salon or are authorised by the owner to register it, manage it, and enter into these Terms on its behalf. If you act for a company or firm, you confirm you have authority to bind it, and "you" means both you and that entity, jointly and severally.

9.2 Accurate listing information. You are responsible for the accuracy of everything on your listing, including the Salon name, address, geographic coordinates, operating hours, description, photographs, services, and prices. Keep it current. Misleading listing information — including advertising a service or price you do not honour — is a breach of these Terms and may breach the Federal Competition and Consumer Protection Act 2018.

9.3 Legal and regulatory compliance. You are solely responsible for operating your Salon lawfully. This includes, without limitation:

(a) business registration and any trade, health, environmental, or local government permits;

(b) all taxes, levies, and statutory returns, including VAT, PAYE, and any state or local levies;

(c) your relationship with your staff and Barbers, including wages, pensions, employee compensation, and all obligations under the Labour Act and related legislation;

(d) workplace health, safety, hygiene, and sanitation standards;

(e) insurance appropriate to your business, including public liability cover;

(f) consumer protection and pricing transparency; and

(g) data protection obligations in respect of information you collect from your customers.

9.4 Customer disputes are yours. Complaints about service quality, injury, damage, hygiene, pricing, or staff conduct at your Salon are your responsibility to resolve. Cutz will not mediate, arbitrate, or fund any such dispute.

9.5 Personal data of customers and staff. Through the Services you will have access to personal information about Customers in your Queues (including names and service history) and about your Barbers (including performance data). You must:

(a) use that information only to operate your Salon and serve those customers;

(b) not use it for marketing outside the Services without a lawful basis and the person's consent;

(c) not sell, rent, publish, or otherwise disclose it;

(d) not export or retain it beyond what you need;

(e) keep it secure and restrict access to staff who need it; and

(f) comply with the Nigeria Data Protection Act 2023 and any directive of the Nigeria Data Protection Commission in your own right.

You indemnify us under section 25 for any claim arising from your misuse of that information.

9.6 Managers and staff access. If we allow you to grant access to managers or staff, you are responsible for what they do with that access and for removing access promptly when a person leaves.

9.7 Subscriptions. Paid plans, prices, trials, renewals, upgrades, downgrades, failed payments, cancellation, and refunds are governed by the Subscription, Billing & Refund Policy, which forms part of these Terms. In summary: subscriptions are per Salon, renew automatically until cancelled, and are paid in advance.

9.8 Plan limits. Each plan has limits, including the maximum number of Barbers. If you downgrade or your plan lapses, features and capacity are reduced to those of the lower plan, and we may deactivate access above the new limit. We will make reasonable efforts to warn you before this happens.

9.9 Queue configuration. You set operating hours, the pre-closing buffer, maximum queue size, and average service durations. These directly affect the estimates shown to Customers. Configure them honestly. Setting values you know to be inaccurate in order to appear faster or more available than you are is a breach of these Terms.

9.10 Front-desk actions. The Cutz Salon app lets you add Walk-ins and remove or cancel Queue Entries. You must not use these to start, complete, or fabricate service records, or to distort Barber performance data. Section 8.5 applies to you when you add a Walk-in.

9.11 Analytics are estimates. Revenue, wait time, retention, and traffic figures in the Salon app are estimates derived from queue activity and the prices you have configured. Cutz does not process payments for services and has no visibility of your actual takings. Do not use these figures for tax, accounting, audit, lending, or investment purposes. We are not liable for any decision you take based on them.

9.12 Content you upload. You are responsible for having the rights to every photograph, logo, name, and description you upload — including the right to use images of any identifiable person. See section 12.

9.13 Reviews of your Salon. You cannot require a Customer to leave a positive Review, offer anything of value in exchange for a Review, penalise a Customer for a negative Review, or post Reviews of your own Salon or competitors. See the Community & Review Guidelines.

9.14 Closing a Salon. If you close or sell your Salon, update or remove the listing and cancel any Subscription. You remain responsible for charges until you cancel in accordance with the Billing Policy.


PART C — TERMS THAT APPLY TO EVERYONE

10. Acceptable use

10.1 You must use the Services lawfully, honestly, and in accordance with the Acceptable Use Policy, which forms part of these Terms.

10.2 Without limiting that policy, you must not: manipulate queues or ratings; create fake Accounts, Queue Entries, or Reviews; impersonate anyone; harass, threaten, or discriminate against anyone; upload unlawful, obscene, or infringing material; scrape, crawl, or bulk-extract data from the Services; reverse engineer, decompile, or attempt to derive our source code; probe, scan, or test the security of our systems without written permission; interfere with the operation of the Services; use the Services to build a competing product; or use automated means to access the Services except a standard browser or our published applications.


11. Intellectual property

11.1 Our rights. The Services, including all software, source code, design, layout, graphics, text, the "Cutz" name and logo, and all associated intellectual property, are owned by us or our licensors and are protected by the Copyright Act 2022, the Trade Marks Act, and other applicable laws. Nothing in these Terms transfers any of those rights to you.

11.2 Your licence to use the Services. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Services for their intended purpose. For Salon Operators, this licence is additionally limited to the term of the applicable Subscription for any paid feature.

11.3 Restrictions. You must not copy, modify, distribute, sell, lease, sublicense, or create derivative works from any part of the Services, or remove or obscure any proprietary notice.

11.4 Feedback. If you send us suggestions or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use it without obligation or compensation to you. You are not required to send us feedback.

11.5 Copyright complaints. If you believe Content on the Services infringes your copyright or trade mark, email hello@cutz.ng with: your contact details; identification of the work; the location of the material on the Services; a statement that you believe in good faith that the use is not authorised; and a statement that the information is accurate and that you are the rights holder or authorised to act for them. We will review and may remove the material and act against repeat infringers under section 21.


12. Your Content

12.1 You keep ownership. You retain all rights you have in Content you submit.

12.2 Licence to us. You grant us a worldwide, non-exclusive, royalty-free, sublicensable, transferable licence to host, store, reproduce, adapt (for formatting and resizing), publish, and display your Content for the purpose of operating, promoting, and improving the Services. For Reviews and public Salon and Barber profile Content, this licence continues after your Account is closed, because that Content forms part of the public record other users rely on. For private Content, the licence ends when the Content is deleted from our live systems, subject to backup retention described in the Privacy Policy.

12.3 Your warranties. You warrant that your Content: is yours or you are licensed to submit it; does not infringe anyone's rights; is not unlawful, defamatory, obscene, misleading, or discriminatory; and, where it shows an identifiable person, that you have their permission.

12.4 We do not pre-screen. We are under no obligation to monitor or pre-screen Content, but we may review, refuse, edit, hide, or remove any Content at our discretion, including where it breaches these Terms, the Acceptable Use Policy, or the Community & Review Guidelines, or where we are required to do so by law.

12.5 Anonymised and aggregated data. We may create aggregated and de-identified statistics from platform activity — for example, typical wait times in an area, or peak demand hours — and use and publish them for any purpose, including research, marketing, and product development. These statistics will not identify you.


13. Third-party services

13.1 The Services depend on third-party providers, including payment processing (Paystack), SMS delivery, mapping and location services (Google Maps Platform), sign-in providers (Google), cloud hosting and storage (including Cloudflare), and browser push notification infrastructure operated by device and browser vendors.

13.2 We are not responsible for the availability, accuracy, security, or acts of these providers. Their outages, errors, rate limits, or changes may degrade or interrupt the Services.

13.3 Where you use a third-party service through the Services — for example signing in with Google, opening a map, or paying through Paystack — that provider's own terms and privacy policy apply to that interaction, in addition to ours.

13.4 Map data, addresses, distances, and place information come from third parties and may be inaccurate. Do not rely on them for navigation-critical decisions.


14. Availability, changes, and beta features

14.1 No guaranteed availability. The Services are provided on an "as available" basis. We do not commit to any uptime or service level unless we have given you a separate written service level agreement.

14.2 Interruptions. The Services may be unavailable or degraded because of maintenance, upgrades, power failures, network or internet failures, third-party outages, security incidents, or events beyond our control. We will try to schedule planned maintenance sensibly and, where practical, give notice.

14.3 Offline behaviour. The apps may show cached data when your device is offline or has a poor connection. Cached queue information may be out of date. Always check that data has refreshed before relying on it.

14.4 We may change the Services. We may add, change, suspend, or remove features at any time. We will give reasonable notice before removing or materially degrading a feature that a paid Subscription depends on, and the plan-change provisions of the Subscription, Billing & Refund Policy apply.

14.5 Beta and "coming soon" features. Features labelled beta, preview, early access, experimental, or coming soon are provided for evaluation, may be changed or withdrawn without notice, may never be released, and are excluded from any warranty or commitment. Do not make business decisions on the assumption that an announced feature will ship.


15. Privacy and data protection

15.1 Our handling of personal information is described in the Privacy Policy. Please read it — it forms part of your agreement with us.

15.2 We process personal information in accordance with the Nigeria Data Protection Act 2023 and directives of the Nigeria Data Protection Commission.

15.3 Where a Salon Operator or Barber accesses personal information about Customers through the Services, they must comply with section 9.5 and with data protection law in their own right.


16. Suspension and termination

16.1 You may leave at any time. You can stop using the Services and request closure of your Account by contacting hello@cutz.ng or using any in-app deletion feature we provide. Salon Operators must also cancel any Subscription they control; closing an Account does not automatically end billing.

16.2 We may suspend or terminate. We may suspend or restrict your access, remove Content, remove a Salon listing, or close your Account where we reasonably believe that:

(a) you have breached these Terms or an incorporated policy;

(b) your use exposes us, another user, or a third party to legal liability, security risk, or harm;

(c) you have not paid an amount due;

(d) you have provided false information or impersonated someone;

(e) your Account has been inactive for an extended period; or

(f) we are required to do so by law or by a competent authority.

16.3 Notice. Where practical and lawful we will tell you before we suspend or terminate, and explain why. Where the issue is serious — fraud, safety, security, or a legal requirement — we may act immediately and tell you afterwards.

16.4 Appeals. If you think we have acted wrongly, email hello@cutz.ng within 30 days. We will review your appeal and respond in a reasonable time.

16.5 We may discontinue the Services. We may stop offering the Services, in whole or in part, on 30 days' notice. If we do, we will refund the unused portion of any prepaid Subscription on a pro-rata basis.

16.6 Effect of termination. On termination: your licence to use the Services ends; active Queue Entries are cancelled; and Salon listings may be removed. Sections 3, 5, 11, 12.2, 12.5, and 17 to 23 survive termination, together with any provision that by its nature should survive.


17. Disclaimer of warranties

17.1 To the maximum extent permitted by law, the Services are provided "as is" and "as available", without warranty of any kind, whether express, implied, statutory, or otherwise.

17.2 We specifically disclaim any warranty of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and quiet enjoyment, and any warranty that: the Services will be uninterrupted, timely, secure, or error-free; queue positions, wait times, opening hours, prices, distances, or analytics will be accurate; notifications will be delivered; data will not be lost; or defects will be corrected.

17.3 We make no warranty about, and accept no responsibility for, any Salon, Barber, Customer, or third party, or the quality, safety, legality, or outcome of any service arranged through the Services.

17.4 Nothing in this section excludes any warranty or right that cannot be excluded under Nigerian law, including under the Federal Competition and Consumer Protection Act 2018.


18. Limitation of liability

18.1 What we never exclude. Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded.

18.2 Excluded losses. Subject to 18.1, we are not liable for: loss of profit, revenue, business, contracts, anticipated savings, goodwill, or reputation; loss or corruption of data; business interruption; or any indirect, special, incidental, punitive, or consequential loss, in each case however caused and whether or not foreseeable.

18.3 Specific exclusions. Subject to 18.1, and without limiting 18.2, we are not liable for any loss arising from:

(a) inaccurate queue positions, wait times, estimates, availability, opening hours, prices, distances, or analytics;

(b) a notification that was late, missed, or not delivered;

(c) time you spent waiting, travelling, or attending a Salon;

(d) a Salon closing, a Barber becoming unavailable, or a refusal to serve you;

(e) any act, omission, service, conduct, injury, damage, or dispute involving a Salon, Barber, Customer, or other user;

(f) any third-party service, outage, or platform limitation, including push notification limitations on iOS or Android;

(g) unauthorised access to your Account where you failed to keep your credentials or device secure; or

(h) any Content posted by another user.

18.4 Financial cap. Subject to 18.1, our total aggregate liability to you for all claims arising in any 12-month period is limited to the greater of:

(a) the total amount you actually paid us in that period; and

(b) ₦25,000 (twenty-five thousand naira).

Because Customers and Barbers pay us nothing, limb (b) will normally be the cap for them.

18.5 Allocation of risk. You acknowledge that the Services are provided free of charge to Customers and Barbers, and at a low subscription cost to Salon Operators, and that the limitations in this section reflect a fair allocation of risk without which we could not offer the Services on these terms.

18.6 Time limit. Any claim arising out of these Terms or the Services must be brought within one year of the date the cause of action arose, or as soon after that as the law allows if a one-year limit is unenforceable.


19. Indemnity

19.1 You agree to indemnify and hold harmless Cutz, its directors, officers, employees, and agents against all claims, demands, liabilities, losses, damages, costs, and reasonable legal fees arising from or connected with:

(a) your breach of these Terms or any incorporated policy;

(b) your Content;

(c) your violation of any law or the rights of any third party;

(d) for Salon Operators and Barbers: the operation of your business, the services you provide, your treatment of staff, and your handling of personal information; and

(e) any dispute between you and another user.

19.2 We will notify you of any claim we intend to seek indemnity for, and you may participate in the defence at your own cost. You must not settle a claim in a way that imposes any obligation or admission on us without our written consent.

19.3 This section does not apply to a Customer acting purely as a consumer, except in respect of 19.1(b) and (c).


20. Dispute resolution

20.1 Talk to us first. Before starting any formal proceeding, email hello@cutz.ng setting out the dispute and the outcome you want. We will try in good faith to resolve it within 30 days.

20.2 Mediation and arbitration (business users). If you are a Salon Operator, a Barber acting in the course of business, or any other business user, and the dispute is not resolved under 20.1, it shall be referred to arbitration seated in Lagos or Abuja, Nigeria, under the Arbitration and Mediation Act 2023. The seat shall be agreed between the parties or, failing agreement within 14 days, chosen by the claimant. The tribunal shall consist of one arbitrator agreed between the parties or, failing agreement within 21 days, appointed by the Chartered Institute of Arbitrators (Nigeria) or, if that body is unable to appoint, by the Lagos Court of Arbitration. The language of the arbitration shall be English. The award shall be final and binding.

20.3 Consumers. If you are a Customer using the Services for personal purposes, nothing in 20.2 requires you to arbitrate. You may bring your claim in the courts under section 21, and you retain any right to complain to the Federal Competition and Consumer Protection Commission or, on a data protection matter, to the Nigeria Data Protection Commission.

20.4 Individual claims. Disputes are resolved individually. You agree not to bring a claim as a representative or class claimant, to the extent permitted by law.

20.5 Urgent relief. Either party may apply to a court at any time for an injunction or other urgent relief, including to protect intellectual property or confidential information.


21. Governing law and jurisdiction

21.1 These Terms and any dispute arising from them are governed by the laws of the Federal Republic of Nigeria, without regard to conflict of law rules.

21.2 Subject to section 20, the courts of Lagos State, the High Court of the Federal Capital Territory, Abuja, and the Federal High Court sitting in Lagos or Abuja have jurisdiction. If you are a consumer resident elsewhere in Nigeria, you may also bring proceedings in the courts where you reside.


22. Changes to these Terms

22.1 We may change these Terms — for example to reflect new features, legal requirements, or changes to how the Services work.

22.2 Notice. For material changes we will give at least 14 days' notice before they take effect, through the Services, by email, or by push notification. For a price increase affecting a Subscription, we will give at least 30 days' notice as set out in the Billing Policy.

22.3 Acceptance. Continuing to use the Services after a change takes effect means you accept the updated Terms. If you do not accept them, stop using the Services and, if you are a Salon Operator, cancel your Subscription before the change takes effect.

22.4 Versions. Every version is published at cutz.ng/legal with its version number and effective date. We keep superseded versions available so you can see what changed.

22.5 Record of acceptance. We record when you accept these Terms, and the version you accepted, as evidence of the agreement between us.


23. General

23.1 Entire agreement. These Terms and the documents incorporated into them are the entire agreement between you and us about the Services, and replace any earlier understanding. Nothing in this clause limits liability for fraudulent misrepresentation.

23.2 No waiver. If we do not enforce a right, we do not waive it.

23.3 Severability. If a provision is found unenforceable, it is modified to the minimum extent necessary to make it enforceable, or severed. The rest remains in force.

23.4 Assignment. You may not assign or transfer your rights under these Terms without our written consent. We may assign or transfer ours to an affiliate or in connection with a merger, acquisition, restructuring, or sale of assets, provided your rights are not materially prejudiced.

23.5 No third-party rights. No one other than you and us has any right to enforce these Terms.

23.6 Force majeure. Neither party is liable for failure or delay caused by an event beyond its reasonable control, including power failure, network or telecommunications failure, internet or third-party platform outage, fire, flood, epidemic, civil unrest, industrial action, terrorism, war, or governmental action.

23.7 Relationship. Nothing in these Terms creates a partnership, joint venture, agency, employment, or franchise relationship between you and us.

23.8 Language. These Terms are written in English. Any translation is provided for convenience; the English version governs.

23.9 Headings. Headings are for convenience only and do not affect interpretation.
